1. Acceptance of Terms

These Terms of Use (“Terms“) constitute a binding legal agreement between you (“User“, “you“, or “your“) and Commercial Gist (“Commercial Gist“, “we“, “our“, or “us“), governing your access to and use of the website at commercialgist.com and all related content, features, and services (collectively, the “Platform“).

By accessing or using the Platform in any manner — including browsing articles, subscribing to our newsletter, booking a consultation, or applying for a listed position — you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you do not agree to these Terms, please do not access or use our Platform.

2. About Our Platform

Commercial Gist is a commercial law intelligence platform that provides distilled legal insights, analysis, and commentary for founders, executives, investors, and legal professionals navigating Nigerian and international commercial law. Our Platform includes:

  • A Knowledge Hub featuring articles and analysis on corporate governance, M&A, dispute resolution, fintech regulation, intellectual property, and related topics.
  • Case Studies illustrating real-world legal and commercial outcomes.
  • A curated Jobs Board featuring opportunities in commercial law and related fields.
  • A Consultation Booking service connecting users with legal advisory professionals.
  • Media content including video and audio commentary published across YouTube and TikTok.
  • A Newsletter delivering weekly commercial law insights to subscribers.

3. Not Legal Advice

Reading, subscribing to, or engaging with our content does not create an attorney-client relationship between you and Commercial Gist or any of our contributors. The legal landscape in Nigeria and internationally is complex and constantly evolving. 4. Eligibility

Our Platform is intended for users who are at least 18 years of age. By using the Platform, you represent and warrant that:

  • You are 18 years of age or older.
  • You have the legal capacity to enter into a binding agreement.
  • You are not prohibited from accessing or using the Platform under any applicable law.
  • All information you provide to us is accurate, current, and complete.

5. Permitted Use and User Conduct

You may access and use the Platform for lawful, personal, professional, and non-commercial purposes, subject to these Terms. Specifically, you agree that you will not:

  • Reproduce, republish, redistribute, or resell our content without our express prior written consent.
  • Use our Platform or content for any unlawful purpose or in violation of any applicable Nigerian or international law or regulation.
  • Attempt to gain unauthorised access to any part of the Platform, its servers, or any system or network connected to the Platform.
  • Introduce any virus, malware, spyware, or other harmful code to the Platform.
  • Use automated tools (bots, scrapers, crawlers) to extract content from the Platform at scale without our express written permission.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Use our Platform in a manner that could damage, disable, overburden, or impair the Platform or interfere with other users’ access.
  • Use our content to train or develop artificial intelligence models, large language models, or similar systems without explicit prior written consent from Commercial Gist.

We reserve the right to suspend or terminate your access to the Platform at any time, without notice, if we reasonably believe you have breached these Terms.

6. Intellectual Property

All content published on the Platform — including but not limited to articles, case studies, analysis, graphics, logos, design elements, newsletters, video scripts, and the Platform’s underlying software — is owned by or licensed to Commercial Gist and is protected under the Copyright Act (Cap. C28, LFN 2004) of Nigeria and applicable international intellectual property conventions.

You may access and read our content for your personal, professional, and non-commercial use. You may share links to our articles and content, provided that you do not reproduce the full text without attribution and prior permission.

You may not:

  • Copy, reproduce, or republish substantial portions of our content without express written permission.

  • Modify, adapt, translate, or create derivative works from our content.

  • Remove or obscure any copyright, trademark, or proprietary notices on the Platform.

  • Use the “Commercial Gist” name, logo, or branding in any way that implies endorsement or affiliation without our written consent.

7. Consultation Services

Commercial Gist facilitates connections between users and legal advisory professionals through our consultation booking service. By booking a consultation through our Platform, you acknowledge and agree that:

  • Consultations are advisory in nature and are governed by the specific terms presented at the time of booking, including any engagement letter or terms of service issued by the relevant advisor.
  • Commercial Gist is not a law firm and does not provide legal representation. We are not responsible for the conduct, advice, or professional obligations of individual advisors facilitated through our Platform.
  • Any fee or payment arrangements for consultation sessions are as agreed between you and the relevant advisor or as set out at the time of booking.
  • You are responsible for ensuring that the information you provide during the booking and consultation process is accurate and complete.

8. Jobs Board

Our Jobs Board lists commercial law and related professional opportunities for the benefit of our community. In relation to job listings and applications, you acknowledge that:

  • Commercial Gist is not a recruitment agency. We provide a platform for employers to list positions and for candidates to access those listings.
  • We do not verify the accuracy of job descriptions, salary information, or employer representations. You are responsible for conducting your own due diligence on any employer or opportunity listed.
  • Commercial Gist is not party to any employment relationship or agreement entered into between a candidate and an employer. We are not liable for any outcome arising from your application, interview, or engagement with a listed employer.
  • Employers and candidates using the jobs board must comply with all applicable Nigerian employment and anti-discrimination laws, including the Employees’ Compensation Act 2010.

9. Third-Party Links and Resources

Our Platform may contain links to external websites, resources, or platforms operated by third parties — including employers, government agencies, professional bodies, and other publications. These links are provided for your convenience and information only.

Commercial Gist does not control, endorse, or take responsibility for the content, privacy practices, or accuracy of any third-party website or resource. Your use of any linked third-party site is at your own risk and is governed by the terms and policies of that site. We encourage you to review the terms and privacy policies of any external site you visit.

10. Disclaimers and Limitation of Liability

Disclaimer of Warranties

The Platform and all content and services are provided on an “as is” and “as available” basis, without warranty of any kind, whether express, implied, or statutory. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We do not guarantee the accuracy, completeness, currency, or fitness for purpose of any content published on the Platform.

Limitation of Liability

To the fullest extent permitted by applicable law, Commercial Gist, its directors, officers, contributors, advisors, and affiliates shall not be liable for any direct, indirect, incidental, consequential, special, or exemplary damages arising out of or in connection with your access to or use of — or inability to access or use — the Platform or its content, even if we have been advised of the possibility of such damages.

This includes, without limitation, any loss of profit, business, data, goodwill, or other intangible loss arising from your reliance on our content, any errors or omissions in the content, or any commercial or professional decisions made based on information obtained from this Platform.

Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud, or any other liability that cannot lawfully be limited or excluded under Nigerian law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Commercial Gist and its directors, officers, employees, contributors, and advisors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of or access to the Platform in breach of these Terms.
  • Your violation of any applicable law or the rights of any third party.
  • Any content or information you submit, provide, or transmit through the Platform.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms — including any question regarding their existence, validity, or termination — shall first be subject to good-faith negotiation between the parties. If the dispute is not resolved within 30 days of written notice, either party may refer the matter to:

  • Mediation, before a mediator agreed upon by both parties; or failing agreement,

  • The jurisdiction of the High Court of Lagos State, to which both parties irrevocably submit.

Nothing in this clause limits either party’s right to seek urgent injunctive or declaratory relief from a court of competent jurisdiction.

13. Modifications to These Terms

We reserve the right to update or modify these Terms at any time. When we do, we will revise the “Last Updated” date at the top of this page. For material changes, we may also notify registered subscribers by email or through a notice on our Platform.

Your continued use of the Platform after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.

We also reserve the right to modify, suspend, or discontinue any aspect of the Platform at any time, with or without notice, and without liability to you.
